These AfterShip Feature Specific Terms form part of the AfterShip Terms of Service (“Terms” or “Terms of Service”). Capitalized terms used but not defined in these AfterShip Feature Specific Terms have the meaning given to them in the Terms of Service.

1. DEFINITIONS

When used in the Terms with the initial letters capitalized, in addition to terms defined elsewhere in the Terms, the following terms shall have the following meanings. The definition of each Feature here below shall also include the relevant portions of the Site, Software, API and Documentation.

AfterShip Referrals means the services provided by AfterShip in connection with referral programs, referral program widgets, reward email notifications, affiliate campaigns and influencers programs.

AfterShip App Builder means the services provided by AfterShip in connection with building iOS and Android apps for Shopify Stores or similar Third Party Service provider, send promotional push notifications and analyze said app performance.

AfterShip EDD means the services provided by AfterShip in connection with AI-powered delivery data prediction to help Users predict when a parcel will be delivered.

AfterShip Email means the services provided by AfterShip in connection with automated flows to send (i) notification emails regarding tracking and shipping information and (ii) personalized marketing emails based on customers’ shopping behaviour.

AfterShip Feed means the services provided by AfterShip in connection with the synchronization between User’s eCommerce platforms and User’s TikTok Shop store.

AfterShip Green means the services provided by AfterShip in connection with carbon emission reports built with AI technology to achieve insights into transport carbon footprints.

AfterShip Parser means the services provided by AfterShip in connection with email parsing API: (i) email detection services provided in order to detect whether an email includes relevant Order Information (as defined in the Data Processing Agreement) and (ii) email parsing services per se which consist in extracting the categories of data defined in the Data Processing Agreement from the Data.

AfterShip Page Builder means the services provided by AfterShip in connection with building website pages.

AfterShip Personalization means the services provided by AfterShip in connection with enabling Users to provide product recommendations to End-Users by using behavioural and transactional data to display the most relevant and accurate recommendations.

AfterShip Popups & Forms means the services provided by AfterShip in connection with building and displaying pop-ups and forms on Your Store to increase customer engagement and convert website traffic into marketing leads.

AfterShip Protection means the services as described in AfterShip Protection Terms of Use available here.

AfterShip Returns means the services provided by AfterShip in connection with product returns (such as providing a returns centre into the User's store, updating return policies and instructions, tracking the returns, and email the tracking status to the User's customers) the relevant portions of the Site, Software, API and Documentation.

AfterShip Reviews means the services provided by AfterShip in connection with importing customer reviews from eCommerce platforms to Your Shopify Store, sending customers review requests, and providing analysis of products reviews.

AfterShip Shipping means the services provided by AfterShip in connection with shipping APIs, such as generation of shipping labels, customs documents, creation of shipments, creation of manifest files and cancelling labels.

AfterShip SMS means the services provided by AfterShip in connection with (i) notification SMS regarding tracking and shipping information and (ii) engaging and personalized marketing SMS.

AfterShip Tracking means the services provided by AfterShip in connection with tracking and parcel information (such as individually reported tracking events, parcel location and timing information).

AfterShip Traffic means the services provided by AfterShip in connection with displaying Your products in other stores and other stores’ products in Your Stores with free display advertising.

AfterShip Warranty means the services provided by AfterShip in connection with product warranty which mainly consists in providing a warranty centre for the Store(s), tracking returns, and managing warranty notifications.

Apple Wallet Order Tracking means the services provided by AfterShip that enable Users to provide a feature for the End-Users to import, into their personal Apple Wallet, tracking, order and parcel information including namely but not exclusively order number, order value, order date, item name, item value, item amount, item weight, tracking number, carrier name, shipping method, box type, parcel weight, ship date, ship from address, End-User name, End-User email, End-User phone number, End-User's shipping address, store name, store website, carrier preferences, notification content, notification preferences, delivery status, delivery location, delivery date, signed by name, expected delivery date, shipping label file, shipping rates, manifest file, returns reason, returns method, resolution type, returns product images, refund amount and returns date.

Any new or modified Features added to the Service are also subject to the Terms.

A prior Feature description may have been used on Service Orders, Service Plans, the Site, terms, conditions or policies. Each prior Feature name and new Feature description shall be interchangeable in said documents in accordance with the following conversion table:

2. FEATURE SPECIFIC TERMS

2.1 AFTERSHIP TRACKING

In addition to the Terms of Service, the following terms apply to Your access and use of AfterShip Tracking.

a. AfterShip Tracking allows the User to receive tracking and parcel information originating from the Authorized Carriers.

b. In addition and without any limitation to the warranty disclaimer provided in the Terms, AfterShip makes no warranty whatsoever (i) in respect of the accuracy and integrity of the information provided by the Authorized Carriers and (ii) that the information will be communicated to the User integrally and/or in a timely manner.

c. AfterShip Tracking allows the User to subscribe to Reports subject to the following:

• User (i) shall only share the Reports with its respective employees, representatives and agents who have a need to know such reports for the User’s own internal business purposes (“Permitted Purpose”) and who are bound to maintain the confidentiality of, and not misuse, such Reports, (ii) shall not disclose any Report to any third party whatsoever, and (iii) shall not use a Report for any purpose other than the Permitted Purpose.

• User shall have a perpetual licence to use the Reports delivered during the period subscribed subject to the Permitted Purpose.

• Subscribed Reports are provided subject to clause 17, and AfterShip makes no warranty as to the accuracy, completeness or authenticity of the information contained therein.

• Except for any Data, AfterShip reserves all rights with respect to the look, feel and presentation of the Reports to the extent such rights arise, and the Reports shall constitute AfterShip Intellectual Property Rights.

• AfterShip may alter or modify its methodology and processes with respect to the aggregation, analysis and review of Anonymised Data and how such Anonymised Data is used to compile and format a Report.

• Reports shall be provided on subscription basis in accordance with Your Service Plan or Service Order, as applicable.

2.2 AFTERSHIP SHIPPING

In addition to the Terms of Service, the following terms apply to Your access and use of AfterShip Shipping.

a. AfterShip Shipping allows You to (i) print shipping labels of Shipping Providers (see the relevant portion of the Site for more information about the carriers), (ii) get rates across Shipping Providers, (iii) validate addresses by Shipping Providers, (iv) generate commercial invoices from Shipping Providers, and (v) automatically use negotiated rates of your Shipping Providers’ accounts.

b. AfterShip serves only as an intermediary between You and the Shipping Provider, allowing You to purchase and print shipping labels ("Labels"). AfterShip is not responsible for pick up, transport, deliver or generally to deal with Your shipments.

c. Your use of the Third Party Shipping Services is subject to, and You are responsible for compliance with, all Shipping Provider’s terms and conditions. Please refer to the terms and conditions from the applicable Shipping Provider. Please also refer to the applicable shipping restrictions for more information about what You are and are not permitted to ship through the applicable Shipping Provider.

d. You may not use AfterShip Shipping for any illegal or unauthorized purpose. By shipping any parcel, You are responsible for compliance with all applicable laws and regulations including local and international shipping and customs regulations.

e. AfterShip will not be responsible for any local customs charges, import taxes or duties or any similar charges related to Your shipments. If any such charges become due as a result of Your use of AfterShip Shipping and are charged to AfterShip by any competent authority, You agree to reimburse AfterShip fully in respect of the same within 14 days of Our demand.

2.3 AFTERSHIP RETURNS

In addition to the Terms of Service, the following terms apply to Your access and use of AfterShip Returns.

a. User shall be solely responsible for any and all returns organized through AfterShip Returns. AfterShip Returns may allow the User to receive tracking and parcel information for returns originating from the Authorized Carriers.

b. AfterShip is not responsible or liable for and makes no representations in connection with any act or omission of Your End-Users, including the accuracy, completeness or authenticity of the information contained or the manner in which Your End-Users handle data, including Your Data, or any interaction between You and Your End-Users in the framework of AfterShip Returns.

2.4 AFTERSHIP PROTECTION

By enabling, purchasing, providing End-Users with the option to subscribe to, by selling and/or by offering for sale AfterShip Protection, User agrees to the AfterShip Protection Terms of Use which are available here.

2.5 AFTERSHIP EMAIL AND AFTERSHIP SMS

By enabling, purchasing, and using AfterShip SMS, You agree to the AfterShip SMS and AfterShip Email Content Policy, which is available here.

2.6 AFTERSHIP EDD

In addition to the Terms of Service, the following terms apply to Your access and use of AfterShip EDD.

AfterShip EDD allows Users to display estimated delivery date (“EDD”) of parcels. The EDD is calculated by AfterShip systems and is an average number. The EDD is for reference only and may differ from the actual delivery date. AfterShip does not warrant that EDD will be the same than the actual delivery date. AfterShip is not responsible for any differences between the EDD and the actual delivery date.

2.7 AFTERSHIP FEED

By enabling, purchasing, and using AfterShip Feed, you agree to the AfterShip Feed Terms, which are available here.

2.8 AFTERSHIP PARSER

In addition to the Terms of Service, the following terms apply to Your access and use of AfterShip Parser:

a. AfterShip Parser does not include any storage services. The Data provided by You in connection with AfterShip Parser shall not be retained excluding however the Anonymized Data.

b. User shall ensure that the Data transferred to AfterShip in connection with AfterShip Parser may be disclosed to, detected, parsed and/or processed by AfterShip and its Authorized Subprocessors.

2.9 AFTERSHIP REVIEWS

By enabling, purchasing, and using AfterShip Reviews, You agree to the AfterShip Reviews Content Policy, which is available here.

2.10 AFTERSHIP WARRANTY

In addition to the Terms of Service, the following terms apply to Your access and use of AfterShip Warranty:

a. AfterShip Warranty allows Users to create a warranty center for its Store(s), track returns, and manage warranty notifications.

b. User shall only use AfterShip Warranty to manage warranties. User acknowledges that AfterShip Warranty is not an insurance service and shall not use it in any way that could be deemed to classify this service as an insurance service. Should User use AfterShip Warranty in a way that qualifies as an insurance service, User hereby releases the Released Parties from claims, demands, and damages (actual and consequential) of every kind or nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such conduct.

c. User shall issue a warranty policy which is transparent, clear, unambiguous and comprehensive. User shall provide information regarding the warranty coverage, good and/or services covered by the warranty, conditions for reimbursement, defects, etc. User shall comply with all laws and regulations applicable to said warranty.

d. AfterShip serves only as an intermediary between the User and the End-User. AfterShip is not responsible or liable for and makes no representations in connection with any act or omission of Your End-Users, including the accuracy, completeness or authenticity of the information contained or the manner in which Your End-Users handle data, including Your Data, or any interaction between You and Your End-Users in the framework of AfterShip Warranty.

2.11 APPLE WALLET ORDER TRACKING

Apple Wallet Order Tracking enables Users to provide a feature for the End-Users to import, into their personal Apple Wallet, tracking, order and parcel information. Apple Wallet services as further described here are services provided by Apple, Inc. These services shall be considered as Third Party Services under the Terms. For the avoidance of doubt, AfterShip shall not be liable for any services provided by Apple, Inc. (whether these services are provided to Users or End-Users).
